BIDWA Terms and Conditions

Welcome to BIDWA ("Platform," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of the BIDWA platform, which connects customers with service providers for warehousing, logistics, and related services.

By accessing or using BIDWA, you agree to be bound by these Terms.

1. Platform Overview

BIDWA is an online marketplace that facilitates connections between customers seeking services and independent service providers offering such services. BIDWA does not perform, supervise, or control the services provided.

BIDWA is not a broker, carrier, warehouse operator, or auctioneer. We act solely as a technology platform.

2. User Accounts

To use BIDWA, users must:

Provide accurate and complete information.
Maintain the confidentiality of account credentials.
Be legally capable of entering into binding contracts.

Users are responsible for all activity under their account.

3. Services and Agreements

All service agreements are made directly between customers and service providers.

BIDWA:

Does not guarantee service quality, timing, or outcomes.
Is not responsible for damages, delays, or disputes between users.
Does not take possession of goods at any time.

4. Fees and Charges

4.1 Customer Fees

Customers agree to pay:

A 5% platform service fee based on the total transaction amount.
A 1.5% transaction processing fee.

4.2 Service Provider Fees

Service providers agree to pay:

A 5% service fee per completed transaction.
A 1.5% transaction processing fee.

4.3 Payment Processing

Payments are processed through a third-party provider (e.g., Stripe or similar).
All fees are automatically deducted at the time of transaction.
BIDWA is not responsible for third-party payment processing errors.

5. Payments

Payments may be held according to Stripe policies until service completion.
Release of funds occurs based on agreed service completion terms.
Disputes may delay payment release.

6. Cancellations and Refunds

Cancellation terms are determined by the agreement between customer and provider.
Platform fees may be non-refundable.
Transaction fees are non-refundable.

7. User Conduct

Users agree not to:

Circumvent the platform to avoid fees.
Provide false or misleading information.
Engage in fraudulent, abusive, or illegal activity.

Violation may result in account suspension or termination.

8. Disputes Between Users

Users agree to attempt to resolve disputes directly.
BIDWA may assist but is not obligated to mediate.
BIDWA is not liable for any claims arising from user disputes.

9. Limitation of Liability

To the maximum extent permitted by law, BIDWA shall not be liable for:

Indirect, incidental, or consequential damages.
Loss of goods, profits, or business.
Service provider performance or failure.

Total liability shall not exceed fees paid to BIDWA in the transaction.

10. Indemnification

Users agree to indemnify and hold BIDWA harmless from any claims, damages, or expenses arising from:

Use of the platform.
Violation of these Terms.
Disputes with other users.

11. Termination

BIDWA may suspend or terminate accounts at any time for:

Violation of Terms.
Suspicious or fraudulent activity.
Any reason at our sole discretion.

12. Modifications

BIDWA reserves the right to modify these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
